APPEARANCE RELEASE
1. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I hereby irrevocably grant to BuzzFeed Media Enterprises, Inc., its affiliated entities, licensees, successors, assigns and those acting under its permission or upon its authority (collectively, “Producer”), my consent and the absolute, unrestricted and irrevocable right and permission to copyright, record, reproduce, broadcast, distribute, edit, publish, exhibit, sell, disseminate and use in any way forever and throughout the world any recording, videotape, motion picture or photographic portraits or pictures of me and to use my actual or simulated voice, biography, image and/or likeness, in whole or in part, whether or not in conjunction with my own or fictitious name, and any reproduction thereof, made through any medium or media now known or hereafter devised in connection with, and as part of, productions produced by Producer (the “Production”) and for advertising, publicity, distribution or exhibition or any other purpose whatsoever related thereto, including, without limitation, the right to use or authorize the use of any portion(s) of the Production containing the photographs, videos and recordings made hereunder in other productions and projects. I hereby assign to Producer all right, title and interest in any photographs, videos and recordings made in connection with the above for exploitation by Producer in any and all media of any nature whatsoever now known or hereafter devised, along with full rights of assignability. Such right and permission shall be exercisable (in whole, in part or not at all) at the discretion only of Producer.
2. I hereby waive any right that I may have to inspect or approve the Production or any finished product or the use to which such finished product may be applied. I hereby release Producer and its collective officers, directors, shareholders, and employees from any liability, based upon any of the rights referred to herein or otherwise arising in connection with the Production, including, without limitation, claims for defamation, invasion of privacy and copyright infringement.
3. All provisions herein concerning the Production, and my potential inclusion in the Production shall be kept strictly confidential by myself and my representatives. Neither I nor my representatives shall issue any press releases or public statements about this agreement, the Production and/or Producer without Producer’s prior written permission.
4. No breach of this consent and release or violation of my rights shall entitle me to terminate or rescind the rights granted to Producer herein, or to enjoin the production, exhibition, or other exploitation of the Production. My sole remedy in the event of Producer’s breach hereof will be strictly limited to the right, if any, to recover compensatory monetary (but not punitive or consequential) damages in an action at law, and in no event shall any of the rights acquired or to be acquired by Producer hereunder be affected or impaired.
5. Each party agrees that this Agreement and any other documents to be delivered in connection herewith may be electronically signed, and that any electronic signatures appearing on this Agreement or such other documents are the same as handwritten signatures for the purposes of validity, enforceability, and admissibility.
6. This Appearance Release shall in all respects be governed by, and construed in accordance with, the laws of the State of New York applicable to contracts entered into and to be fully performed therein, without application of any choice of law rules. The parties hereto submit to the exclusive jurisdiction of the courts of the State of New York and the courts of the United States located in New York, New York, in connection with any lawsuit, action, or proceeding arising out of or relating to this Agreement, and agree that venue in New York, New York is proper. I shall not raise, and hereby waive, any defenses based upon improper venue, inconvenience of the forum, lack of personal jurisdiction, or the sufficiency of service of process.
